Terms and Conditions

Please read these Terms and Conditions carefully before purchasing a Waqtly Device or using the Waqtly Service.
1. About These Terms
These Terms and Conditions govern your purchase and use of Waqtly Devices, the Waqtly Application, the Website, subscriptions and related services.
By placing an order, creating an Account, activating a Waqtly Device or using the Service, you agree to these Terms.
These Terms should be read together with our Privacy Policy and our Returns and Exchange Policy.
Nothing in these Terms limits any mandatory rights you have under the consumer laws that apply to you.
2. Definitions
For the purposes of these Terms:

Account means the account created for you to access the Service or certain features of the Service.

Activation Code means the code issued by us to connect a Waqtly Device or the Application to your Account and activate the relevant access plan.

Application means the WAQTLY software, including software pre-installed on a Waqtly Device and any Waqtly application made available for other electronic devices.

Company, Waqtly, we, us or our means Waqtly International Limited, a private company limited by shares incorporated in Hong Kong under the Companies Ordinance (Chapter 622 of the Laws of Hong Kong), Company Registration Number 79829297, with its registered office at Flat 5, 4/F, Won Hing Building, 74-78 Stanley Street, Central, Hong Kong.

Content means text, prayer times, Hijri calendar information, Quran recitations, audio, video, images, podcasts, livestreams, layouts and other content made available through the Service.

Core Adhan Feature means the basic adhan functionality that Waqtly makes available on a Waqtly Device without requiring an active paid Subscription, as described on our Website.

Device means any compatible electronic device capable of accessing the Service.

Included Access Period means any period of full access included with your purchase before recurring Subscription billing begins, as shown at checkout.

Lifetime Access means the one-time purchase option that gives access to the features included in the Lifetime plan without recurring Subscription Fees, subject to these Terms.

Service means, together or separately, the Website, Application, Waqtly Devices, Content, Account services, Subscription features and related Waqtly services.

Start Plan means a Waqtly purchase option that includes an Included Access Period followed by a recurring paid Subscription unless cancelled before recurring billing begins.

Subscription means recurring paid access to features of the Service offered on a subscription basis.

Subscription Fee means the recurring amount payable for a Subscription, as shown at checkout and, where available, in your Account.

Waqtly Device means hardware sold by us under the Waqtly brand, including Waqtly tablets and their included accessories.
-
Website means waqtly.com and any regional Waqtly domains or pages operated by us.
-
You or your means the individual using the Service or, where applicable, the company or legal entity on whose behalf that individual is acting.
3. Eligibility
You must be at least 18 years old, or have reached the age of legal majority in your country if higher, to purchase a Waqtly Device, create an Account or enter into a paid Subscription.
A Waqtly Device may be used by other members of your household, including children, under the supervision and responsibility of the Account holder.
4. Purchases
Purchases through the Website are governed by these Terms together with our Returns and Exchange Policy.
Before completing your order, you will be shown the products or plan selected, the applicable price, any recurring charges, any Included Access Period and other relevant payment information.
By placing an order, you agree to pay the price shown at checkout.
Prices, taxes, shipping charges and import duties may vary depending on the delivery country and applicable law. Any amounts payable to us will be displayed at checkout before you confirm your purchase.
We may refuse or cancel an order where reasonably necessary, including in cases of:

an obvious pricing or technical error;
-
suspected fraud or unauthorised payment activity;
-
product unavailability;
-
legal or regulatory restrictions; or
-
an inability to deliver to the requested destination.
If we cancel an order after payment has been received, we will refund the amount paid for the cancelled order.
5. Your Account and Activation Code
After purchase, we may provide you with an Activation Code by email or another method specified by us.
The Activation Code may be used to activate your Waqtly Device, connect it to your Account and activate the access plan you purchased.
You are responsible for keeping your Activation Code and Account login details secure.
You must not sell, publish or intentionally share your Activation Code or Account access with persons outside your household.
You are responsible for activity carried out through your Account unless that activity results from circumstances for which you are not legally responsible.
If you believe your Account or Activation Code has been used without authorisation, please contact us at help@waqtly.com.
You must provide accurate and reasonably complete information when placing an order or creating an Account and keep relevant information up to date.
6. Waqtly Start and Included Access
If you purchase Waqtly Start, your purchase may include a period of full access before recurring Subscription billing begins.
The length of the Included Access Period and the Subscription Fee that will apply afterwards are displayed before you complete your purchase.
Unless stated otherwise at checkout, the Included Access Period begins when your Waqtly Device or access plan is first successfully activated.
For example, where your purchase includes six months of full access, recurring Subscription billing begins after those six included months have ended unless you cancel before the first recurring payment is due.
Cancelling during the Included Access Period prevents the recurring Subscription from starting. Unless otherwise stated, you may continue using the included features until the end of the Included Access Period.
7. Subscriptions, Billing and Renewal
Certain features of Waqtly require an active Subscription.
Billing
The Subscription Fee and billing interval will be shown before you confirm your purchase.
Payments are handled by our payment service providers. We do not store your complete payment card details ourselves.
Automatic Renewal
Unless you cancel, your Subscription automatically renews at the end of each billing period and the applicable Subscription Fee will be charged using your selected payment method.
Where required by law, or where otherwise stated by us, we will send a reminder before recurring billing or renewal.
Failed Payments
If a payment fails, we may:
-
notify you;
-
retry the payment;
-
ask you to update your payment method; and
-
temporarily suspend Subscription-only features until payment is successfully completed.
We will not suspend the Core Adhan Feature solely because a paid Subscription has ended.
Cancellation
You may cancel your Subscription at any time.
If you cancel after a paid billing period has started, cancellation normally takes effect at the end of that paid billing period. You will continue to have access to the paid Subscription features until then.
We do not normally provide partial refunds for a billing period that has already started, unless required by applicable law or expressly stated otherwise.
The Adhan After Cancellation
The Core Adhan Feature is not dependent on maintaining a paid Subscription.
If your Subscription ends or is cancelled, Subscription-only features may stop, but the Core Adhan Feature will remain available on your Waqtly Device, subject to the Device remaining functional and any technical requirements reasonably necessary for the feature to operate.
8. Changes to Subscription Fees
We may change the Subscription Fee from time to time.
A price change will not retroactively affect a billing period you have already paid for.
Where a price increase affects your existing Subscription, we will give you reasonable advance notice and, in any event, at least 30 days' notice unless applicable law requires a longer period.
If you do not agree to the new Subscription Fee, you may cancel your Subscription before the new price takes effect.
9. Waqtly Lifetime
Waqtly Lifetime is a one-time payment option and does not require recurring Subscription Fees for the features included in the Lifetime plan.
The features included with Lifetime Access are described on the Website or at checkout at the time you purchase it.
Where Lifetime Access is advertised as including future updates, this means that updates and improvements that we generally make available as part of the Lifetime plan will be made available without an additional recurring Subscription Fee.
Lifetime Access does not mean:
-
that the physical Waqtly Device is guaranteed against hardware failure indefinitely;
-
that a particular third-party service, livestream, recitation, podcast, application or other third-party Content will remain available indefinitely;
-
that we are required to create any specific future feature; or
-
that external services outside our control can never change or become unavailable.
We may make reasonable technical, security, legal or operational changes to the Service.
We will not intentionally convert Lifetime Access into a recurring paid Subscription.
If we make a change that materially reduces the core paid benefits of Lifetime Access, we will act in accordance with applicable consumer law and any mandatory remedies available to you.
Lifetime Access is normally linked to your Account and Waqtly Device. Where we replace your Waqtly Device under an approved warranty claim or exchange, we may transfer the Lifetime Access to the replacement device.
10. Devices and Software
When you purchase a Waqtly Device, the physical hardware is sold to you.
The software installed on the Device is licensed to you and is not sold as intellectual property.
We grant you a personal, limited, non-exclusive, non-transferable licence to use the Waqtly software for your own lawful, non-commercial use.
This licence does not transfer ownership of the software, Waqtly trademarks, designs, Content or other intellectual property to you.
We may provide software and security updates.
Updates may be necessary to:
-
maintain security;
-
correct errors;
-
maintain compatibility;
-
comply with legal requirements;
-
improve performance; or
-
add, improve or reasonably modify functionality.
We recommend keeping your Waqtly Device connected to the internet where necessary so that prayer times, calendar information, Content and security updates remain current.
11. Returns, Right of Withdrawal and Warranty
Our Returns and Exchange Policy forms part of these Terms and explains how returns, exchanges and faulty products are handled.
Nothing in that policy or these Terms limits mandatory consumer rights that apply in your country.
Consumers in the European Union and United Kingdom
If you are legally entitled to a statutory right of withdrawal for an online purchase, you may exercise that right within the applicable statutory period.
For consumers in the European Union, this is generally 14 days from receipt of goods for distance purchases, subject to applicable exceptions.
Equivalent or additional rights may apply under the laws of your country.
Where the consumer is responsible for return shipping under applicable law, this will be communicated before purchase.
You may only be held responsible for diminished value resulting from handling the goods beyond what is necessary to establish their nature, characteristics and functioning, where permitted by applicable law.
Faulty Products and Legal Guarantees
If your Waqtly Device is faulty, defective or does not conform to the sales contract, you may have statutory rights to repair, replacement, a price reduction or refund depending on applicable law.
For consumers in the European Union, statutory conformity rights generally apply for at least two years from delivery of new goods, and national law may provide additional protection.
Waqtly Commercial Warranty
Where we advertise or provide a Waqtly commercial warranty, including a one-year commercial warranty, that warranty is additional to your statutory consumer rights.
A commercial warranty does not replace, restrict or reduce any mandatory legal guarantee or conformity rights you may have.
Further details are provided in our Returns and Exchange Policy or the warranty information supplied with your purchase.
12. Acceptable Use
You must not:

copy, modify, decompile, reverse engineer or create derivative works from the Application except where applicable law expressly allows this;
-
sell, sublicense, rent or commercially distribute the Application;
-
sell or intentionally share your Activation Code or Account with persons outside your household;
-
use the Service for unlawful purposes;
-
attempt to interfere with, damage, overload or disrupt the Service or our infrastructure;
-
attempt to gain unauthorised access to another person's Account, our systems or protected areas of the Service;
-
introduce malicious software or harmful code into the Service; or
-
remove or obscure copyright, trademark or other proprietary notices.
13. Prayer Times and Religious Content
Prayer times, Hijri dates and related information may be calculated using recognised published calculation methods together with the location and calculation settings selected by you.
Prayer time calculation methods may differ between countries, Islamic schools of thought, mosques and religious authorities.
For this reason, times shown by Waqtly may differ from those used by your local mosque.
The Service is intended to assist you and does not replace guidance from your local mosque or trusted religious authority.
Where precise local timing is important, you should verify the applicable time with your local mosque or religious authority.
We are not responsible for reasonable differences resulting from calculation methods, location settings, local practices or information provided by third parties, except where liability cannot legally be excluded.
14. Quran Recitations and Third-Party Content
The Service may provide Quran recitations, translations, podcasts, livestreams, videos and other Content created, owned, licensed or operated by third parties.
Rights in third-party Content remain with the relevant rights holders.
Availability of third-party Content may change where licences, distribution rights, APIs, technical services or third-party platforms change or become unavailable.
We may therefore replace, update or remove individual items of third-party Content where reasonably necessary.
Where such a change materially affects a paid service, any mandatory rights available to you under applicable consumer law remain unaffected.
15. Intellectual Property
Waqtly, the Application, Website, software, original Content, designs, logos, trademarks, interfaces and functionality are owned by or licensed to Waqtly International Limited.
Except for the limited right to use the Service under these Terms, no intellectual property rights are transferred to you.
You may not use Waqtly's name, logo, branding or proprietary material for commercial purposes without our prior written permission.
16. Availability of the Service
We aim to provide a reliable Service, but no online or connected service can be guaranteed to operate without interruption at all times.
Availability may depend on matters such as:
-
your internet connection;
-
your Device;
-
local networks;
-
hosting and infrastructure providers;
-
third-party Content providers;
-
maintenance;
-
security updates; and
-
events reasonably outside our control.
We may carry out maintenance or technical work that temporarily affects availability.
Where reasonably possible, we will seek to minimise unnecessary disruption.
17. Changes to the Service
We may make reasonable changes to the Service where necessary for legitimate reasons, including:

improving the Service;
-
maintaining security;
-
correcting technical issues;
-
complying with law or regulatory requirements;
-
maintaining compatibility with third-party systems; or
-
responding to changes in services provided by third parties.
We will not use this right as an unrestricted right to remove material paid benefits without regard to your rights.
Where a change materially reduces important features included in an active paid Subscription, we will provide reasonable notice where practicable.
If applicable law gives you a right to cancel, receive a refund, price reduction or another remedy because of such a change, these rights remain fully available.
18. Suspension and Termination
We may temporarily suspend or terminate an Account or access to some or all of the Service where reasonably necessary, including where:

you materially breach these Terms;
-
you use the Service unlawfully;
-
we reasonably suspect fraud or serious misuse;
-
your use creates a security risk;
-
payment remains outstanding for paid Subscription services;
-
we are legally required to do so; or
-
continued access would materially harm our systems, other users or third parties.
Where appropriate and reasonably possible, we will give you notice and an opportunity to resolve the issue before permanent termination.
Immediate suspension may be necessary in cases involving fraud, security threats, unlawful conduct or urgent legal obligations.
Ending or suspending an Account does not remove any rights or remedies you have under mandatory consumer law.
You may stop using the Service at any time and may cancel a Subscription in accordance with these Terms.
19. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
In particular, nothing excludes or limits liability for:
-
death or personal injury caused by negligence where such liability cannot legally be excluded;
-
fraud or fraudulent misrepresentation;
-
wilful misconduct where liability cannot legally be limited; or
-
any statutory consumer right or liability that applicable law does not permit us to exclude or limit.
If you are a consumer, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, subject to applicable law.
We are not responsible for losses that were not reasonably foreseeable when the contract was entered into, except where applicable law provides otherwise.
The Service is intended for personal and household use.
If you use the Service for commercial or business purposes, we are not responsible for business losses such as loss of profits, revenue, business opportunities or business interruption to the extent permitted by law.
We are not responsible for failures caused solely by circumstances outside our reasonable control, provided that this does not affect rights that cannot legally be excluded.
20. No Guarantee of Third-Party Services
Third-party services and Content may be made available through Waqtly for convenience.
Unless expressly stated otherwise, we do not control third-party services and cannot guarantee that they will remain available permanently or without change.
We are not responsible for the independent acts, omissions, policies or systems of third parties, except to the extent applicable law makes us responsible.
21. Links to Other Websites
The Service may contain links to websites or services operated by third parties.
We are not responsible for the content or privacy practices of independent third-party websites.
We recommend reviewing the terms and privacy policies of third-party websites before using them.
22. Privacy
Our collection and use of personal information is described in our Privacy Policy.
The Privacy Policy should be read together with these Terms.
23. Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict-of-law rules.
The courts of Hong Kong have non-exclusive jurisdiction over disputes relating to these Terms.
However, if you are a consumer, this choice of law does not remove any mandatory consumer protection granted to you by the law of the country in which you normally reside.
Where applicable law gives you the right to bring proceedings before the courts of your country of residence, nothing in these Terms prevents you from doing so.

We will try to resolve complaints directly and reasonably.
Nothing in this section prevents you from exercising any statutory right to contact a consumer protection authority, regulator or court.
25. European Union and United Kingdom Consumers
If you are a consumer resident in the European Union or United Kingdom, you benefit from the mandatory consumer protection laws applicable to you.
Nothing in these Terms is intended to remove or restrict those rights.
This includes, where applicable:

statutory withdrawal rights;
-
rights relating to faulty or non-conforming goods;
-
statutory guarantees;
-
rights relating to digital content and digital services;
-
rights concerning unfair contract terms; and
-
access to courts or other remedies available under applicable law.
If any provision of these Terms conflicts with a mandatory consumer protection rule applicable to you, the mandatory rule will apply.
26. United States Legal Compliance
Where applicable, you represent that you are not prohibited by applicable United States sanctions or export-control laws from receiving or using the Service.
You must not use the Service where doing so would cause us to violate applicable sanctions, trade restrictions or export-control laws.
27. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or adjusted to the minimum extent necessary to make it enforceable where legally possible.
The remaining provisions will continue in effect.
28. Waiver
If either party does not immediately exercise a right under these Terms, that does not mean the right has been waived.
A waiver relating to one event does not automatically apply to any later event.
29. Changes to These Terms
We may update these Terms from time to time for legitimate reasons, including changes to:

the Service;

applicable law;
-
security requirements;
-
payment systems;
-
technical requirements; or
-
our business operations.
Changes will not retroactively remove rights you have already acquired.
If a change materially affects an ongoing paid Subscription or Lifetime Access, we will provide reasonable advance notice and, where appropriate, at least 30 days' notice before the change takes effect.
Where applicable law gives you the right to reject a material change, cancel, receive a refund or obtain another remedy, those rights remain available.
Minor changes, corrections and changes that do not materially disadvantage you may take effect without advance notice where permitted by law.
30. Translation
These Terms may be provided in different languages.
Where legally permitted, the English version is the original version used to interpret these Terms.
However, this does not override any mandatory language, interpretation or consumer protection requirements that apply under local law.
31. Entire Agreement
These Terms, together with the policies and information expressly incorporated into them, form the agreement between you and Waqtly concerning the Service.
Nothing in this section excludes or limits liability for statements, representations or rights that cannot legally be excluded or limited.
